VW Approves Porsche Merger

VW board agrees on final details to buy a 49.9 percent stake in Porsche AG by the end of this year

VW's supervisory board has put its final stamp of approval on the company's merger with Porsche AG - a wholly owned subsidiary of Porsche Automobil Holding SE.

Volkswagen AG will purchase a 49.9 percent stake in Porsche AG by the end of this year. It will complete a merger with parent company Porsche Automobil Holding SE by 2011.

The Porsche and Piech families, which still control Porsche, are set to put their signatures to a merger contract today (Friday, November 20, 2009). The VW board is said to also be signing off on a series of contracts, thousands of pages long, detailing a multi-stage process for the merger. VW said in a press release it wants the process to go as smoothly as possible and will propose a resolution to issue new preferred shares at its Extraordinary General Meeting on December 3, 2009. The new shares will allow VW to maintain its "medium term financial flexibility," the company said.

From the press statement, "The creation of an integrated automotive group with ten strong brands follows a compelling industrial logic. It represents a unique opportunity for Volkswagen and is in the best interests of all shareholders. Volkswagen will further expand its position as the leading global multi-brand group with the inclusion of Porsche AG and the automobile trading business of Porsche Holding Salzburg."

I think VAG should tackle the insanity evident in the VW, Skoda, SEAT and Audi ranges before they try to unravel the Porsche knot. BMW AG and Daimler AG bigwigs are probably keeping their fingers crossed that VAG continues to merge itself to death.

I wish Daimler had responded better to Porsche's overtures from a few years ago...I think that would have been a better fit...and definitely better for Daimler & Mercedes Benz...and to continue the wishlist...I really wish Daimler had bought Rolls Royce or Bentley when they had the chance as well...what a difference I think those 2 acquisitions would have made...no McLaren SLR ( instead Porsche could have provided platforms and engerneering) and there would have been no Maybach...but a S600 platform would have underpinned the Bentley or RR...

depends on how you look at it. in some ways Porsche and Merc make a good fit, and they've worked together to build models such as the W124 Merc 500E/E500 and both being from Stuttgart means it would be easy to merge their HQ operations.

ofc, cars like the RS2 show that VAG and Porsche have also paired up to form some truly memorable cars too, (as well as some horrific ones like the Q7/Touareg/Cayenne) but that doesn't mean that Merc and Porsche wouldn't make a good team.

VW just better not mess with the lengend 911, otherwise who would want to own a Porsche if there is a VW cheaper version of a 911 with a VW badge...

What a company. They own Bugatti, Lamborghini, Bentley and Porsche that is alot or R & D.

VW and Porsche belong together, they have done many projects in the past. It is a great fit. MB and BMW would be a rediculous merger. Totally different mentallities when it comes to building cars. This could be a great thing for both companies. Don't jump to conclusions, if Porsche still has over 50% ownership, does it not still leave them with some say in what happens with their product? This is an amazing accomplishment for a tiny little country. The US with all of its manpower and money still builds crap yet a little country like Germany can become this strong of a superpower? Amazing feat, amazing cars.

so the Chrysler/Merc merger was a good idea? there were a lot of "people with no idea" critiquing that decision and look what happened.

people are allowed an opinion. only time will tell if that opinion was a valid one. that counts both for the companies themselves and those outside of them.

If I lived on the moon maybe I would consider a GM. I live on earth though. I'll choose a European car please!
